These Terms of Service (the "Terms") govern your use of DocsHund. By creating an account or using the service you agree to these Terms. If you don't agree, don't use the service.

1. Who these terms are with

DocsHund is provided by [Legal Entity Name] ("DocsHund," "we," "us"). "You" means the individual or organization using the service.

2. Account & eligibility

• You must be at least 16 years old and able to form a binding contract.
• You're responsible for the accuracy of the information you provide and for keeping your password and API keys confidential.
• You're responsible for everything that happens through your account, including any sub-users you invite.
• If you're registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscription, billing, and quotas

• Plans and quotas. Each plan tier has a monthly extraction quota. We'll display your current plan and quota in your dashboard.
• Billing. Paid plans are billed in advance through Stripe. Fees are non-refundable except where required by law.
• Quota overages. When your account exceeds its monthly quota, further extractions return an error until the next billing cycle, you upgrade, or you contact us.
• Changes to fees. We may change subscription fees with at least 30 days' notice.
• Taxes. Fees do not include taxes. You're responsible for sales/VAT/GST applicable to your purchase.

4. Authorized use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use DocsHund for your own internal business purposes.

5. Prohibited uses

You agree not to:

• Upload, extract from, or transmit content you don't have the legal right to process.
• Use DocsHund to process content that violates any law, infringes anyone's rights, or contains malware.
• Attempt to reverse-engineer, decompile, or extract our source code, models, or proprietary algorithms.
• Resell, sublicense, or white-label DocsHund without our written permission.
• Use DocsHund to develop a competing service.
• Interfere with the operation of the service — including overloading our infrastructure, bypassing rate limits, or testing the system without authorization.
• Share your credentials with anyone outside your organization, or use one account for multiple end customers.
• Process special-category personal data (health, biometric, government-issued IDs) without first contacting us and confirming our suitability for your use case.

6. Your content and our rights

• You own your content. Documents you upload, templates you build, and the extracted data are yours.
• License to operate. You grant us a limited, non-exclusive license to host, process, transmit, and display your content solely to provide the service to you (running extraction, delivering results to integrations you configure, storing source files when you opt in).
• No training on your content. We will not use your documents or extracted data to train machine-learning models.
• Feedback. If you send us suggestions, we may use them without compensation.

7. Third-party integrations

DocsHund integrates with Google Workspace (Drive and Sheets), Stripe (payments), and Mailgun (email). When you connect these, your use of them is governed by their own terms and privacy policies. We're not responsible for their availability or for changes they make to their APIs.

8. Intellectual property

The DocsHund service, software, and brand are owned by us and protected by intellectual-property laws. Nothing in these Terms transfers ownership of our IP to you.

9. Service availability and changes

We aim for high uptime but do not guarantee uninterrupted service. We may add, remove, or change features at any time. We'll give reasonable notice before discontinuing material features that paying customers rely on.

10. Suspension and termination

• By you. Cancel at any time from your account settings. Your subscription remains active until the end of the current billing period; fees already paid are not refunded.
• By us, for cause. We may suspend or terminate immediately if you breach these Terms, fail to pay, or use the service in a way that risks legal liability or harm to other users.
• By us, without cause. We may terminate with 30 days' notice, in which case we'll refund the unused prepaid portion of your subscription.
• Effect of termination. Your access ends and we may delete your data after the retention period described in our Privacy Policy. Sections that by their nature survive termination (IP, disclaimers, liability, governing law) continue to apply.

11. Disclaimers

The service is provided "as is" and "as available," without warranties of any kind, express or implied. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

DocsHund extracts data from documents using deterministic templates and OCR. Extraction quality depends on document quality, template accuracy, and other factors. You are responsible for verifying extracted data before relying on it for any consequential decision (financial, legal, medical, or otherwise).

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility of such damages.

Our total aggregate liability under these Terms will not exceed the greater of (a) the amounts you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

13. Indemnification

You agree to indemnify and hold harmless DocsHund and its officers, employees, and contractors from any third-party claim arising out of your use of the service in violation of these Terms, your content, or your violation of applicable law.

14. Governing law and disputes

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the courts located in [City, Jurisdiction] for any dispute that isn't subject to mandatory arbitration.

15. Changes to these terms

We may update these Terms as the service evolves. Material changes will be announced by email or via a notice in the dashboard at least 14 days before they take effect. Continued use after that period constitutes acceptance.

16. Miscellaneous

• Entire agreement. These Terms and our Privacy Policy are the entire agreement between us and supersede prior agreements on the subject.
• Severability. If any provision is held unenforceable, the rest remain in effect.
• Assignment. You may not assign these Terms without our consent. We may assign to a successor in connection with a merger, acquisition, or sale of assets.
• No waiver. Our failure to enforce a provision isn't a waiver of our right to enforce it later.
